1. Agreement

These Terms of Service ("Terms") govern your access to and use of the SalesRuns desktop application and related services provided by [LEGAL_ENTITY_NAME] ("SalesRuns", "we"). By using the Service you agree to these Terms. Our Privacy Policy is incorporated into these Terms.

2. The Service; your account

SalesRuns provides an AI sales assistant that connects to email accounts you own or are authorized to use. You represent that you have the right to grant the Service access to every mailbox you connect, and that connecting an account complies with that mailbox provider's terms of service. You are responsible for all activity under your accounts.

3. Acceptable use — email sending

• You may use the Service only to send email that complies with applicable anti-spam laws (including the U.S. CAN-SPAM Act, the EU GDPR/ePrivacy rules, and other laws in recipients' jurisdictions), and with the policies of your email provider.
• You are solely responsible for the content of messages sent from your accounts and for having a lawful basis to contact recipients.
• Prohibited: sending unlawful, deceptive, or harmful content; purchasing or scraping contact lists in violation of applicable law; evading provider sending limits or reputation controls; use of the Service by senders of malware or phishing.
• We may suspend or terminate access that threatens provider relationships, recipient inboxes, or our platform reputation.

4. Email permissions and data handling

When you authorize the Service to access a mailbox (via Gmail API, Microsoft Graph, or IMAP/SMTP), access is limited to the scopes you grant and is used only for the purposes described in the Privacy Policy — chiefly: detecting replies to outreach you initiated, generating AI follow-up suggestions, and sending messages you approve. Email bodies are stored locally on your device by default. You may disconnect any mailbox at any time, which stops all API access and deletes stored tokens.

5. Subscriptions, trials, billing

Paid plans renew automatically until cancelled. Free trials convert to paid only after you provide payment details and are reminded before conversion. You may cancel any time via your account settings; refunds follow our published refund policy or applicable law where more protective.

6. AI output

AI-generated reply suggestions and drafts require your review; you decide what is sent. AI output may contain errors; you are responsible for final content. We do not claim ownership of your data, but you grant us the limited hosting/processing licenses necessary to provide the Service to you.

7. Intellectual property

The Service, including its software, design, and documentation, is owned by or licensed to SalesRuns and protected by intellectual-property laws. These Terms grant you a personal, non-transferable license to use it as described.

8. Disclaimers and liability

The Service is provided "as is" without warranties beyond those required by applicable law. To the maximum extent permitted, we are not liable for indirect or consequential damages, email deliverability outcomes, or actions taken by mailbox providers (including spam-flagging or account restrictions) resulting from use of the Service. Nothing in these Terms excludes liability that cannot lawfully be excluded.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate accounts that breach these Terms, with notice where reasonably practicable. Sections 3, 4, 6, 8, 10 survive termination.

10. Governing law and changes

These Terms are governed by [GOVERNING_LAW]. We may update them; material changes take effect 14 days after notice in-app or by email. Continued use after that date constitutes acceptance.
